Terms of Service

1. Who We Are

Candour is operated by Sullivan Applications Ltd, a company registered in England and Wales ("we", "our", "us"). By creating an account or using the Candour app or any related services, you agree to these Terms of Service. Please read them carefully.

If you do not agree, you must not use Candour.

2. What Candour Is

Candour is a platform for restaurants, cafes, pubs, and similar food-serving businesses. It gives businesses a single QR code and NFC link that customers can tap to access a digital menu, Wi-Fi credentials, a loyalty stamp card, and a feedback form - without downloading an app.

These Terms govern your use of Candour as a business account holder. If you are a customer tapping a QR code at a venue, you are not entering into any contract with us - your use is governed by our Privacy Policy.

3. Eligibility and Account Registration

To create a Candour account, you must be at least 18 years old and have the authority to act on behalf of the business you are registering. You sign in using Apple Sign-In. You are responsible for keeping your account secure and for all activity that occurs under it.

You must provide accurate information about your business. We reserve the right to suspend or terminate accounts where inaccurate or misleading information is provided.

4. Subscriptions and Billing

Candour is available on a free tier and paid subscription tiers. Paid subscriptions are processed through Apple's App Store using in-app purchases. All billing, payment handling, refunds, and subscription management are subject to Apple's terms and conditions.

Subscription prices are displayed in the app at the point of purchase. Prices are in GBP; Apple handles currency conversion for other regions. Subscriptions renew automatically unless cancelled through your Apple ID settings before the end of the current period.

We reserve the right to change subscription pricing. We will give you reasonable notice of any price changes before they take effect.

5. Free Trial

New accounts are eligible for a free trial period as displayed in the app at the time of sign-up. The trial gives full access to the subscription tier you select. At the end of the trial, your subscription will begin automatically unless you cancel beforehand through your Apple ID settings.

6. Features and Acceptable Use

Digital Menu

You can upload menu images or enter menu items manually. You are responsible for ensuring your menu content is accurate, lawful, and up to date. You must not upload content that is illegal, misleading, or that infringes any third party's rights. AI-assisted menu parsing is provided as a convenience feature - you should review and correct any AI-generated output before publishing.

Wi-Fi

If you use the Wi-Fi feature, you are responsible for ensuring you have the right to share your Wi-Fi credentials through Candour. We store your credentials securely but you accept responsibility for any consequences arising from sharing your Wi-Fi password with customers.

Loyalty Stamp Cards

You are responsible for the loyalty programme you configure, including the rewards you offer. Candour facilitates the issuance and tracking of stamps but does not guarantee or fulfil any rewards on your behalf. Customers who earn stamps or complete a loyalty card are doing so in a relationship with your business, not with us.

Feedback and Google Reviews

Customers who submit feedback through your Candour profile may be invited to leave a review on Google if their feedback is assessed as positive. This redirect uses AI sentiment analysis on the feedback text. By enabling this feature, you consent to customer feedback text being processed for this purpose.

You must not use the feedback feature to solicit, filter, or suppress genuine customer reviews in a way that violates Google's review policies or any applicable consumer protection law. The purpose of the feature is to make it easy for satisfied customers to share their experience - not to hide negative feedback.

General Acceptable Use

You must not use Candour to:

7. AI Features

Candour uses AI to analyse feedback sentiment and to assist with menu content parsing. These features are provided as tools to improve your experience and are not guaranteed to be accurate. You should not rely solely on AI-generated output for any business-critical decisions. We use Anthropic's API to power these features; by using them, you acknowledge that relevant content is processed by Anthropic in accordance with their terms.

8. Physical Products

If you purchase physical QR stands or related products through the Candour in-app shop, those purchases are subject to our separate Terms of Sale, which are displayed at the point of checkout. Payment is processed by Stripe.

9. Intellectual Property

Candour and its underlying software, design, and brand are owned by Sullivan Applications Ltd. Using Candour does not give you any ownership rights in the platform.

You retain ownership of the content you upload (menu images, business information, and so on). By uploading content to Candour, you grant us a limited licence to store, display, and process it for the purpose of providing the service to you.

10. Service Availability

We aim to keep Candour available at all times but we do not guarantee uninterrupted service. We may need to take the service down for maintenance, updates, or reasons outside our control. We will aim to give notice of planned downtime where possible.

We are not liable for any loss arising from service interruptions, provided we have acted reasonably.

11. Limitation of Liability

To the extent permitted by law, Sullivan Applications Ltd's total liability to you in connection with Candour shall not exceed the total fees you have paid to us in the three months preceding the event giving rise to the claim.

We are not liable for indirect, consequential, or special losses, including loss of revenue, loss of customers, or damage to reputation, even if we have been advised of the possibility of such losses.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

12. Termination

You can close your Candour account at any time through the app or by contacting us. If you cancel your subscription, you will continue to have access until the end of the current billing period.

We may suspend or terminate your account if you breach these Terms, if required by law, or if we choose to discontinue the service. If we terminate your account without cause, we will refund any prepaid subscription fees on a pro-rata basis.

On termination, your business data will be deleted within 30 days in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you by email or through the app with reasonable notice before the changes take effect. Continued use of Candour after changes take effect constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from them will be subject to the exclusive jurisdiction of the courts of England and Wales.
